Uplifts digital

1. Introduction

These Terms and Conditions govern access to and use of https://upliftsdigital.com and the services provided by Uplift Digital Private Limited (“Uplift Digital,” “we,” “us” or “our”).

By accessing our website, submitting an enquiry or engaging our services, you agree to the terms applicable to your interaction. A separate written proposal, agreement or statement of work may contain additional terms for a specific project.

2. Services

Uplift Digital provides digital services, which may include:

  • Website design, development and maintenance.

  • Software and application development.

  • Search engine optimisation (SEO).

  • Digital marketing and lead generation.

  • E-commerce website development.

  • Branding, graphic design, video editing and animation.

  • Content creation and related digital services.

The exact deliverables, features, fees and timelines for a client project will be set out in the relevant proposal or written agreement.

3. Enquiries and Project Agreements

Submitting an enquiry through our website does not automatically create a service contract.

A project begins when the relevant proposal or agreement has been accepted and any agreed initial payment or other commencement requirements have been satisfied.

Where a signed agreement, approved proposal or statement of work contains terms specific to a project, those terms will govern that project in the event of an inconsistency, subject to applicable law.

4. Client Responsibilities

Clients agree to:

  • Provide accurate information, instructions and materials reasonably necessary for the project.

  • Ensure that they have the necessary rights and permissions to use materials supplied to us.

  • Provide timely feedback, approvals and access to relevant platforms.

  • Use our services for lawful purposes.

  • Maintain appropriate backups and access controls for their own systems unless otherwise agreed in writing.

  • Pay agreed fees by the specified due dates.

Delays caused by missing information, approvals, access or client-supplied materials may affect delivery timelines. We will communicate material changes where reasonably practicable.

5. Fees, Payments and Taxes

Project fees, payment milestones, deposits and due dates will be specified in the applicable proposal, invoice or agreement.

Unless otherwise agreed in writing, work may commence after the agreed advance payment has been received.

Applicable taxes, including GST where required, will be charged in accordance with applicable law and the agreed pricing terms. Invoices will reflect the applicable tax treatment.

Any additional work outside the agreed scope may incur additional charges, which will be communicated for approval before the additional work proceeds, where reasonably practicable.

6. Cancellations and Refunds

Cancellation requests must be submitted in writing.

If a client cancels a project, the amount payable will be determined by the applicable agreement, work completed up to cancellation, approved expenses and any lawful cancellation terms.

Where appropriate, refunds of amounts paid in excess of fees and costs properly due will be processed in accordance with the agreement and applicable law.

If Uplift Digital is unable to perform a material agreed obligation, we will work with the client to determine an appropriate remedy, which may include corrective work, an agreed revised timeline, termination or a refund where applicable.

Nothing in these Terms excludes any refund, remedy or consumer right that cannot lawfully be excluded.

7. Revisions and Delivery

Project proposals should specify the expected deliverables, revision allowance and estimated delivery schedule.

Revision requests within the agreed scope will be handled according to the project agreement. Requests that materially change the original requirements may require a revised quote and timeline.

Delivery estimates may depend on timely client feedback, third-party services, technical requirements and other project dependencies. We will communicate significant delays where reasonably practicable.

8. Intellectual Property

Each party retains ownership of intellectual property it owned before the project.

Unless otherwise agreed in writing, Uplift Digital retains ownership of its pre-existing code, reusable components, frameworks, tools, templates, methods and general know-how.

Ownership or licensing rights in custom deliverables will be specified in the relevant project agreement. Where a transfer of rights is agreed, it will take effect according to that agreement, including any applicable payment conditions.

Third-party software, plugins, stock assets, fonts and other licensed materials remain subject to their respective licence terms.

Clients are responsible for ensuring that materials they supply do not unlawfully infringe third-party rights.

9. Third-Party Services and SEO Results

Our work may depend on third-party platforms, hosting providers, advertising services, search engines, plugins, APIs or software.

We do not control those third parties and cannot guarantee uninterrupted availability, unchanged pricing or the continued operation of their services.

SEO rankings, advertising performance, leads, conversions, sales and revenue depend on factors outside our complete control. We do not guarantee specific rankings or commercial results unless an express written agreement states otherwise.

10. Confidentiality and Data Handling

Both parties should take reasonable steps to protect confidential business information shared during a project.

Confidential information may be disclosed where required by law or to authorised personnel and service providers who reasonably need it for the relevant work and are subject to appropriate confidentiality obligations.

Personal information will be handled in accordance with our Privacy Policy and applicable data-protection requirements.

Where a project involves access to client systems or personal data, the parties may need additional written security, confidentiality or data-processing terms.

11. Warranties and Support

Any maintenance, support period, service-level commitment or post-delivery warranty must be specified in the relevant proposal or agreement.

Unless expressly agreed otherwise, ongoing maintenance, hosting, software subscriptions, third-party licence renewals and additional support are not included automatically in a one-time project fee.

We will perform agreed services with reasonable care and skill, subject to the project scope and applicable law.

12. Limitation of Liability

To the extent permitted by applicable law, neither party will be liable to the other for indirect or consequential losses that are not reasonably foreseeable in the circumstances.

Any contractual limit on liability should be specified in the relevant project agreement and applied only to the extent legally permitted.

Nothing in these Terms excludes liability for fraud, wilful misconduct or any liability that cannot lawfully be excluded or limited.

13. Suspension and Termination

Either party may seek to terminate a project in accordance with the relevant agreement.

Where legally permitted, Uplift Digital may suspend affected services after providing reasonable notice if a client materially breaches the agreement, fails to make an overdue payment or uses the services unlawfully. Immediate action may be taken where reasonably necessary to address a serious security threat or unlawful activity.

On termination, the parties will settle outstanding amounts and address the handover of completed work, access credentials and materials in accordance with the applicable agreement.

14. Website Availability and Acceptable Use

We may update, modify or temporarily suspend the website for maintenance, security or operational reasons.

Users must not attempt to disrupt website operations, gain unauthorised access, distribute malicious code or use the website for unlawful activities.

15. Governing Law and Disputes

These Terms are governed by the laws of India, subject to applicable conflict-of-law principles and any mandatory rights that apply to the relevant customer.

The parties should first attempt to resolve disputes through good-faith discussions. Any unresolved dispute will be addressed by a court or other competent forum having jurisdiction under applicable law.

16. Changes to These Terms

We may update these Terms to reflect changes in our services, business operations or legal obligations.

The revised version will be published on this page with an updated effective date. Changes to an existing project agreement will be governed by that agreement and applicable law.
